Hong Kong company registration

1、 Information required for registering a Hong Kong company
1. Company name
-Provide both Chinese and English names (traditional Chinese, optional), with the English name ending in "Limited" and the Chinese name ending in "Limited Company".   
-The name needs to be searched through the Hong Kong Companies Registry to ensure that there are no duplicate names or sensitive vocabulary.   

2. Director and shareholder information
-Director/shareholder identification: scanned copy of ID card or passport (must be valid).   
-Proof of address: Water and electricity bills, bank statements, etc. from the past 3 months (must match the name of the director/shareholder).   
-If the shareholder is a legal representative of the company, a business license and proof of identity of the legal representative must be provided.   

3. Registered capital and equity distribution
-The standard registered capital is HKD 10000 (no capital verification required), and higher amounts can be freely set (such as HKD 1 million).   
-It is necessary to clarify the shareholding ratio of each shareholder.   

4. Business Scope of the Company
-Chinese or English can be filled in, and the scope must comply with Hong Kong regulations (no industry restrictions, but legal).   

5. Registered address and company secretary
-Provide a local registered address in Hong Kong (which can be provided by our company).   
-Appoint Hong Kong residents or licensed secretarial companies as statutory secretaries (which can be provided by our company).   

6. Other documents
-Sign legal documents such as the 'Director and Shareholder Consent Form' and the 'Articles of Association' (template provided by our company).   

2、 After registration is completed, the customer will receive the following information
1. Legal documents
-Certificate of Registration (CR): A certificate of company establishment issued by the Hong Kong government.   
-Business Registration Certificate (BR): valid for 1 or 3 years, used for legal business operations.   
-Articles of Association (M&A): A legal document that sets out the operating rules of a company.   

2. Company seal
-Steel stamp (for official documents), long seal (for daily business), round seal (for bank affairs).   

3. Shareholder and Director Records
-Register of Directors, Register of Shareholders, and Register of Secretaries: Statutory documents that record information about the management of a company.   

4. Meeting minutes book
-First board meeting minutes and stock distribution records.   

5. Bank account opening support documents
-Assist in providing company registration information, director and shareholder certificates, etc., to facilitate the opening of a Hong Kong bank account.   

6. Other service documents
-If entrusted, we can provide tax declaration guidelines, annual audit reminder services, etc.

1. Annual review and tax declaration
-Hong Kong companies are required to conduct annual audits (updating business registration certificates, submitting annual returns) and tax declarations (profits tax).
